Commercial License Agreement for Virtual Events

This Commercial License Agreement for Virtual Events (“Agreement”) is entered into between My Mystery Party, LLC, doing business as My Mystery Party (“My Mystery Party”), and the purchaser identified on the applicable order (“Buyer”). This Agreement governs the commercial use of a My Mystery Party game via Zoom, Microsoft Teams, Google Meet, or any other online video chat or electronic platform.

By purchasing, downloading, accessing, promoting, or using a virtual commercial license, the Buyer agrees to this Agreement and the My Mystery Party Terms and Conditions.

A person purchasing or accepting this Agreement on behalf of a business or organization represents that the person has authority to bind that business or organization to this Agreement.

This license applies only to virtual events that host the My Mystery Party Virtual Video-Chat Games. It does not authorize face-to-face or hybrid events unless the Buyer also purchases the applicable in-person commercial license.

1. Required Licenses

A virtual commercial license is valid only when paired with an active, unused, commercially eligible standard license for the same virtual game title. Purchasing the downloadable version of a virtual game provides the required standard license for that game. The standard license and virtual commercial license should be purchased together to receive the full one-year commercial license period. 

One virtual commercial license covers one game title. A separate standard license and virtual commercial license are required for each additional game title.

The commercial license is issued only to the Buyer named on the order. It may not be transferred, assigned, sublicensed, shared, or resold.

If a purchase is made on behalf of a business or organization, the individual identified as the licensed host on the order is considered the Buyer for purposes of the hosting requirements in this Agreement. Payment by a business or organization does not permit other employees, owners, contractors, volunteers, or representatives to host the game.

2. When a Virtual Commercial License Is Required

A virtual commercial license is required when any of the following applies:

  • The game will be hosted more than once.
  • The event is publicly advertised, promoted, or announced.
  • The game is used in connection with a business, organization, venue, membership, service, fundraiser, or public event.
  • Admission fees, participation fees, donations, reimbursements, or other payments are accepted in connection with the event.
  • The game is included in a paid event package or service provided to a client.
  • The game is used for profit or to promote or benefit a business or organization.
  • The event is hosted for paying members, customers, clients, guests, participants, or spectators.

A commercial license may be required even when the event is not expected to earn a profit. Charging only enough to recover expenses, including the game purchase, platform fees, decorations, prizes, food, or supplies, is still commercial use.

3. Private Single-Use Virtual Events

A virtual commercial license is generally not required when all of the following are true:

  • The game is hosted only once.
  • The event is private and noncommercial.
  • The event is not publicly promoted or advertised.
  • No admission fee, participation fee, donation, reimbursement, or other payment is accepted.
  • The event does not promote or benefit a business, organization, membership, or paid service.

A school, library, or public agency may host one virtual event under a standard license only when participation is free, the event is not publicly promoted, and the game is not used to promote or financially benefit the organization.

The former 501(c)- waived license program was discontinued on July 1, 2023.

4. License Period

The virtual commercial license expires on the same date as the associated standard license. The standard license expires one year after its original purchase date, and purchasing a commercial license separately does not extend, renew, restart, or otherwise change that expiration date.

When the standard license and virtual commercial license are purchased together, both licenses remain active for one year from the purchase date.

If the virtual commercial license is purchased after the associated virtual game standard license, the commercial license is valid only for the time remaining on that standard license. For example, if six months remain on the standard license when the commercial license is purchased, the commercial license will also expire in six months.

An expired, previously used, exchanged, refunded, revoked, or otherwise inactive standard license cannot be reactivated or extended by purchasing a virtual commercial license.

While both licenses remain active and in good standing, the licensed game may be hosted multiple times for virtual commercial events, provided that the Buyer complies with this Agreement and personally hosts every event.

My Mystery Party does not provide expiration or renewal notices. The Buyer is responsible for maintaining an active standard license and virtual commercial license for every commercially hosted event.

5. Buyer Must Be Visibly Present as Host

The Buyer named on the order must be visibly present on the virtual platform and actively serve as the host throughout every licensed event.

The Buyer may not provide the game to a client, employee, contractor, venue, customer, or other person for independent use. If another person will host the game, that person must purchase the required licenses in their own name.

Event planners and service providers may include the game in a client package only when the licensed Buyer personally hosts the event and retains control of all protected game materials, private links, videos, and files.

6. Assigning the Commercial License

Whenever possible, the standard license and virtual commercial license should be purchased on the same order.

If the commercial license is purchased separately, the Buyer must provide the order number and title of the applicable standard Virtual Game license in the order comments or contact My Mystery Party within 24 hours of purchase.

If the Buyer does not identify the applicable game, the commercial license may be assigned to the most recent eligible standard virtual-game license on the Buyer’s account.

If an order contains multiple standard licenses and only one commercial license, the commercial license will be assigned to the first eligible Virtual Format game listed unless the Buyer provides different instructions before assignment.

Once a commercial license has been assigned to a game, the assignment is final. The license may not be transferred to another game, order, account, person, or business.

A commercial license purchased without an eligible standard license remains inactive until the same Buyer purchases an eligible standard license. An inactive commercial license does not authorize promotion or commercial use.

7. Promotion and Attribution

The Buyer may not publicly advertise, promote, announce, or sell participation in an event until the applicable virtual commercial license is active.

This includes promotion through websites, social media, email marketing, printed materials, ticketing platforms, radio, television, podcasts, videos, streaming platforms, verbal advertising, or any other public medium.

All promotional materials must clearly identify the game as a My Mystery Party game.

Electronic promotions must include:

This event features a My Mystery Party game from MyMysteryParty.com.

Printed promotions must include:

This event features a My Mystery Party game from www.mymysteryparty.com.

The attribution must be clear, readable, and reasonably close to the event description. It may not be hidden, obscured, separated from the event information, or displayed in unusually small or inconspicuous text.

8. Paid Advertising

Unless My Mystery Party provides prior written approval, the commercial license does not authorize the Buyer to use My Mystery Party game materials, artwork, videos, product photographs, logos, trademarks, or other promotional materials in paid advertising.

This restriction includes sponsored social-media posts, paid search advertisements, display advertisements, boosted posts, video advertisements, marketplace advertisements, and other paid promotional placements.

The Buyer may advertise the licensed event using original text and original event graphics, provided that the promotion includes the required attribution and does not disclose protected game content or imply an official partnership, sponsorship, or endorsement.

9. Use of Names, Trademarks, and Approved Graphics

An active virtual commercial license grants the Buyer a limited, nonexclusive, revocable right to use the licensed game title and the My Mystery Party name solely to identify and promote the licensed event.

The Buyer may use a promotional graphic supplied or expressly approved by My Mystery Party only as authorized and only in connection with the licensed event.

The Buyer may not alter the My Mystery Party name or logo, claim ownership of the game or artwork, change any of the graphics, suggest an official partnership or endorsement, or create a business name, domain, social-media account, advertisement, or branding that could reasonably be confused with My Mystery Party.

When an authorized graphic is used, the promotion must clearly state that the artwork is owned by and provided by My Mystery Party. Electronic attribution must include an active link to MyMysteryParty.com.

10. Materials That May Be Sent to Players

The Buyer may send each participant only the individual character packet or other material specifically designated by My Mystery Party for delivery to that participant.

The Buyer may not send or transfer:

  • The complete game files;
  • Host instructions or host-only materials;
  • Solution files or solution keys;
  • Private video links or passwords;
  • Videos or downloaded copies of videos;
  • Clue files intended to be displayed by the host;
  • Other participants’ character materials;
  • Editable source files;
  • Any material not expressly designated for delivery to that participant.

The Buyer must retain control of all host materials and present or screen-share them during the event as directed by the game instructions.

11. Protected Game Materials

All game documents, character packets, scripts, clue cards, forensic reports, solutions, videos, graphics, passwords, instructions, storylines, private links, and related materials remain the intellectual property of My Mystery Party or its licensors.

The Buyer may not:

  • Sell, rent, sublicense, publish, upload, share, or distribute protected game materials.
  • Provide the complete game or host materials to another person or business.
  • Remove or conceal copyright notices, logos, credits, watermarks, or ownership information.
  • Rewrite, translate, adapt, modify, or create derivative versions of the game without written permission.
  • Post clues, scripts, private character information, solutions, victim information, culprit information, forensic reports, videos, private links, or other spoilers.
  • Use the materials to create, develop, train, or promote a competing product or service.

12. Recording, Livestreaming, and Broadcasting

The virtual commercial license does not authorize livestreaming, broadcasting, filming, screen recording, audio recording, podcasting, rebroadcasting, public transmission, or other reproduction of gameplay or protected game content.

The Buyer may not allow participants or spectators to record the event, capture the screen, redistribute the video call, or publicly display protected game content.

Brief screenshots or photographs of costumes, decorations, or participants may be shared only when they do not reveal protected materials, private character information, clues, challenge materials, dialogue, character packet content, videos, passwords, the victim, the culprit, the solution, or other spoilers.

The Buyer is responsible for informing participants, spectators, employees, contractors, photographers, clients, and attendees of these restrictions.

13. Platform Access and Security

The Buyer is responsible for choosing and operating the virtual platform, managing invitations and access, and taking reasonable steps to prevent unauthorized participants from entering the event.

The Buyer may not post meeting links, passwords, private game links, or protected materials in a publicly accessible location.

My Mystery Party is not responsible for platform outages, internet failures, unauthorized access, participant conduct, security incidents, data loss, or technical problems involving a third-party service.

14. Hybrid and In-Person Events

This license applies only to events hosted with the Virtual Format games by My Mystery Party entirely through a virtual platform. You cannot license an in-person game for virtual use.

An event involving a virtual-format game with both virtual and face-to-face participation is considered a hybrid event and requires both the virtual commercial license and the applicable In-Person Commercial License.

15. Beta-Test and Complimentary Copies

Beta-test, preview, sample, complimentary, promotional, or review copies do not constitute active standard licenses and are not eligible for commercial use.

A commercially eligible standard license for the published virtual game must be purchased before a virtual commercial license can be activated.

16. Current and Retired Game Versions

The Buyer must use the most current version of the licensed game made available during the license period. Once an updated version is released, a superseded version may no longer be used unless My Mystery Party provides written authorization.

If a game is retired during the active license period, the Buyer may continue hosting the downloaded version until the license expires. My Mystery Party is not required to continue providing updates, replacement files, videos, websites, technical support, or other resources for retired games.

17. Event Operations and Legal Compliance

The Buyer is solely responsible for operating the event safely and lawfully, including compliance with applicable platform rules, advertising laws, privacy laws, data-protection laws, accessibility requirements, employment laws, tax requirements, contest and prize laws, and local regulations.

The Buyer is responsible for obtaining any required permissions before displaying or sharing participants’ names, likenesses, voices, photographs, or personal information.

My Mystery Party does not operate, supervise, sponsor, endorse, or control the Buyer’s event. The license does not create an employment, agency, partnership, joint venture, franchise, sponsorship, or endorsement relationship.

18. Reviews and Public Statements

Nothing in this Agreement prohibits an honest review, opinion, complaint, or assessment of My Mystery Party, its products, or its services.

The Buyer may not publish protected game materials, private links, confidential information, personal information, spoilers, unlawful content, defamatory statements, or statements the Buyer knows to be materially false or misleading.

A truthful negative review or honestly held opinion does not, by itself, violate this Agreement or provide grounds for license termination.

19. Breach and Termination

My Mystery Party may suspend or terminate a license when the Buyer materially violates this Agreement.

For a minor and reasonably correctable violation, My Mystery Party may provide written notice and an opportunity to correct the violation.

My Mystery Party is not required to provide a correction period for serious violations, including piracy, resale, unauthorized distribution, sharing private links, posting protected materials or spoilers, unauthorized recording or streaming, fraudulent use, or knowingly hosting or promoting an event without the required license.

Upon expiration or termination, the Buyer must immediately stop promoting and commercially using the game.

Except where otherwise required by applicable law, a license terminated because of the Buyer’s material breach is not eligible for a refund.

Termination does not limit any other rights or remedies available to My Mystery Party under this Agreement or applicable law.

20. Refunds

Virtual commercial licenses are nontransferable. Except where otherwise stated in the applicable refund policy or required by law, commercial-license purchases are final and nonrefundable.

The Buyer is responsible for confirming that the correct game, license type, hosting format, and Buyer account are used before completing the purchase.

21. Verification

My Mystery Party may request reasonable documentation to verify compliance, including order numbers, the licensed game title, promotional materials, the identity of the host, the virtual platform used, and the date of an event.

Failure to provide reasonably requested verification may result in suspension of the commercial license until the license status can be confirmed.

22. Additional Terms

This Agreement incorporates the My Mystery Party Terms and Conditions .

If a provision of this Agreement is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

If this Agreement conflicts with the general My Mystery Party Terms and Conditions concerning virtual commercial use, this Agreement controls. The general Terms and Conditions continue to govern all matters not specifically addressed here.

Failure to enforce a provision on one occasion does not waive the right to enforce that provision later.

Provisions concerning intellectual property, prohibited distribution, confidential materials, private links, payment obligations, liability, dispute resolution, and remedies survive expiration or termination to the extent necessary to give them effect.

No exception, amendment, transfer, or waiver is valid unless confirmed in writing by an authorized representative of My Mystery Party.

If this Agreement conflicts with a separately signed written agreement between the Buyer and My Mystery Party, the separately signed agreement controls.

23. Indemnification, Disclaimer of Warranties, and Limitation of Liability

To the fullest extent permitted by law, the Buyer agrees to defend, indemnify, and hold harmless My Mystery Party, LLC and its owners, officers, employees, contractors, licensors, and agents from claims, liabilities, damages, losses, judgments, penalties, costs, and reasonable attorneys’ fees arising from or relating to the Buyer’s event, promotion, operation, participants, contractors, legal noncompliance, breach of this Agreement, or unauthorized use of the game or protected materials.

To the fullest extent permitted by law, the game, license, websites, videos, links, and related resources are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, uninterrupted availability, compatibility with any particular platform, or achievement of any particular attendance, revenue, or event result.

The disclaimers and limitations of liability contained in the My Mystery Party Terms and Conditions apply to this Agreement and every event conducted under the virtual commercial license.

24. Acceptance

By purchasing, downloading, accessing, promoting, or using the virtual commercial license, the Buyer confirms that the Buyer has read, understood, and agreed to this Agreement.

Do not purchase, promote an event, distribute player materials, or use the game commercially unless you agree to all terms of this Agreement.

This game is licensed for personal, private use only. If you plan to use it for any commercial purpose, public event, business, organization, school, fundraiser, church, promotional activity, paid event, or any use that generates revenue or provides a commercial benefit, you must purchase a Commercial License.
