Commercial License Agreement for In-Person Events

This Commercial License Agreement for In-Person Events (“Agreement”) is entered into between My Mystery Party, LLC, doing business as My Mystery Party (“My Mystery Party”), and the purchaser identified on the applicable order (“Buyer”). This Agreement governs the in-person commercial use of a My Mystery Party game.

By purchasing, downloading, accessing, promoting, or using a commercial license, the Buyer agrees to this Agreement and the My Mystery Party Terms and Conditions.

A person purchasing or accepting this Agreement on behalf of a business or organization represents that the person has authority to bind that business or organization to this Agreement.

This license applies only to face-to-face events. It does not authorize virtual events or the recording, streaming, or broadcasting of gameplay or protected game content.

1. Licenses Required

A commercial license is valid only when paired with an active, unused, commercially eligible standard license for the same game title. Purchasing the downloadable version of a game provides the required standard license for that game. The standard license and commercial license should be purchased together to receive the full one-year commercial license period.

One commercial license covers one game title. A separate standard license and commercial license are required for each additional game title.

The commercial license is issued only to the Buyer named on the order. It may not be transferred, assigned, sublicensed, shared, or resold.

If a purchase is made on behalf of a business or organization, the individual identified as the licensed host on the order is considered the Buyer for purposes of the hosting requirements in this Agreement. Payment by a business or organization does not permit other employees, owners, contractors, volunteers, or representatives to host the game.

2. When a Commercial License Is Required

A commercial license is required when any of the following applies:

  • The game will be used more than once.
  • The event is publicly advertised, promoted, or announced.
  • The game is used in connection with a business, organization, venue, membership, service (including but not limited to: event planning), fundraiser, or public event.
  • Admission fees, participation fees, donations, reimbursements, or other payments are accepted in connection with the event.
  • The game is included in a paid event package or service provided to a client.
  • The game is used for profit or to promote or benefit a business or organization.
  • The event is held for paying members, customers, clients, guests, or spectators.

A commercial license may be required even when the event is not expected to earn a profit. Charging only enough to recover expenses, including food, decorations, venue costs, or the purchase price of the game, is still commercial use.

3. Private Single-Use Events

A commercial license is generally not required when all of the following are true:

  • The game is hosted only once.
  • The event is private and noncommercial.
  • The event is not publicly promoted or advertised.
  • No admission, participation fee, donation, reimbursement, or other payment is accepted.
  • The event does not promote or benefit a business, organization, venue, membership, or paid service.

A school, library, or public agency may host one event under a standard license only when participation is free, the event is not publicly promoted, and the game is not used to promote or financially benefit the organization.

The former 501(c)-waived license program was discontinued on July 1, 2023.

4. License Period

The commercial license expires on the same date as the associated standard license. The standard license expires one year after its original purchase date, and purchasing a commercial license separately does not extend, renew, restart, or otherwise change that expiration date.

When the standard license and commercial license are purchased together, both licenses remain active for one year from the purchase date.

If the commercial license is purchased after the associated standard license, the commercial license is valid only for the time remaining on that standard license. For example, if six months remain on the standard license when the commercial license is purchased, the commercial license will also expire in six months.

An expired, previously used, exchanged, refunded, revoked, or otherwise inactive standard license cannot be reactivated or extended by purchasing a commercial license.

While both licenses remain active and in good standing, the licensed game may be hosted multiple times for in-person commercial events, provided that the Buyer complies with this Agreement and personally serves as the host at every event.

My Mystery Party does not provide expiration or renewal notices. The Buyer is responsible for maintaining an active standard license and commercial license for every commercially hosted event.

5. Buyer Must Be the Host

The Buyer named on the order must be physically present and actively serve as the host throughout every licensed event.

The Buyer may not provide the game to a client, employee, contractor, venue, customer, or other person for independent use. If another person will host the game, that person must purchase the required licenses in their own name.

Event planners and service providers may include the game in a client package only when the licensed Buyer personally hosts the game and retains control of all protected game materials.

6. Assigning the Commercial License

Whenever possible, the standard and commercial license should be purchased in the same order.

If the commercial license is purchased separately, the Buyer must provide the order number and title of the standard game license in the order comments or contact My Mystery Party within 24 hours of purchase.

If the Buyer does not identify the applicable game, the commercial license may be assigned to the most recent eligible standard license on the Buyer’s account.

If an order contains multiple standard licenses and only one commercial license, the commercial license will be assigned to the first eligible game listed unless the Buyer provides different instructions before assignment.

Once a commercial license has been assigned to a game, the assignment is final. The license may not be transferred to another game, order, account, person, or business.

A commercial license purchased without an active, unused, commercially eligible standard license does not authorize promotion or commercial use. Purchasing a standard license later does not extend, renew, or restart the commercial-license period. My Mystery Party may require the Buyer to purchase the licenses together on a new order before commercial use is authorized.

7. Promotion and Attribution

The Buyer may not publicly advertise, promote, announce, or sell participation in an event until the applicable commercial license is active.

This includes promotion through websites, social media, email marketing, printed materials, ticketing platforms, radio, television, podcasts, video, streaming platforms, verbal advertising, or any other public medium.

All promotional materials must clearly identify the game as a My Mystery Party game.

Electronic promotions must include:

Printed promotions must include:

This event features a My Mystery Party game from www.mymysteryparty.com.

The attribution must be clear, readable, and reasonably close to the event description. It may not be hidden, obscured, separated from the event information, or displayed in unusually small or inconspicuous text.

8. Use of Names, Trademarks, and Graphics

An active commercial license grants the Buyer a limited, nonexclusive, revocable right to use the licensed game title, the My Mystery Party name, and promotional graphics expressly provided or approved by My Mystery Party solely to promote the licensed event.

The Buyer may not alter the My Mystery Party name or logo, claim ownership of the game or artwork, suggest an official partnership or endorsement, or create a business name, domain, social-media account, advertisement, or branding that could reasonably be confused with My Mystery Party.

When authorized graphics are used, the promotion must state that the artwork is owned by and provided by My Mystery Party. Electronic attribution must include an active link to MyMysteryParty.com.

9. Protected Game Materials

All game documents, character materials, scripts, clue cards, forensic reports, solutions, videos, recordings, graphics, passwords, instructions, storylines, and related materials remain the intellectual property of My Mystery Party, LLC.

The Buyer may not:

  • Sell, rent, sublicense, publish, upload, share, or distribute the game materials.
  • Provide the materials to another person or business for independent use.
  • Remove or conceal copyright notices, logos, credits, watermarks, or ownership information.
  • Rewrite, translate, adapt, modify, or create derivative versions of the game without written permission.
  • Post clues, scripts, character packets, solutions, victim information, murderer, thief, saboteur, spy, or kidnapper information, forensic reports, or other spoilers.
  • Use the materials to create or promote a competing product or service.

The Buyer may provide each player with only the materials designated for that player and only as reasonably necessary to participate in the licensed event.

10. Recording, Streaming, and Public Display

The license does not authorize live streaming, broadcasting, filming, screen recording, audio recording, public performance recordings, podcasting, or other reproduction of gameplay or protected game content.

Brief photographs or videos of costumes, decorations, food, or guests may be posted only when they do not reveal protected materials, clues, private character information, the victim, the culprit, the solution, or other spoilers.

The Buyer is responsible for informing players, employees, contractors, photographers, clients, and attendees of these restrictions.

11. Virtual Events

This license does not authorize gameplay through Zoom, Microsoft Teams, Google Meet, livestreaming services, or any other online or video platform.

Virtual events require the applicable Virtual Commercial-Use License.

12. Beta-Test and Complimentary Copies

Beta-test, preview, sample, complimentary, promotional, or review copies do not constitute active standard licenses and are not eligible for commercial use.

A commercially eligible standard license for the published game must be purchased before a commercial license can be activated.

13. Current and Retired Game Versions

The Buyer must use the most current version of the licensed game made available during the license period. Once an updated version is released, a superseded version may no longer be used unless My Mystery Party provides written authorization.

If a game is retired during the active license period, the Buyer may continue hosting the downloaded version until the license expires. My Mystery Party is not required to continue providing updates, replacement files, videos, websites, technical support, or other resources for retired games.

14. Event Operations and Legal Compliance

The Buyer is solely responsible for operating the event safely and lawfully, including compliance with applicable venue rules, permits, taxes, insurance requirements, accessibility requirements, employment laws, alcohol laws, food-service requirements, privacy laws, advertising laws, and local regulations.

My Mystery Party does not operate, supervise, sponsor, endorse, or control the Buyer’s event. The license does not create an employment, agency, partnership, joint venture, franchise, or sponsorship relationship.

15. Reviews and Public Statements

Nothing in this Agreement prohibits an honest review, opinion, complaint, or assessment of My Mystery Party, its products, or its services.

The Buyer may not publish protected game materials, confidential information, personal information, spoilers, unlawful content, defamatory statements, or statements the Buyer knows to be materially false or misleading.

A truthful negative review or honestly held opinion does not, by itself, violate this Agreement or provide grounds for license termination.

16. Breach and Termination

My Mystery Party may suspend or terminate a license when the Buyer materially violates this Agreement.

For a minor and reasonably correctable violation, My Mystery Party may provide written notice and an opportunity to correct the violation. My Mystery Party is not required to provide a correction period for serious violations, including piracy, resale, unauthorized distribution, posting protected materials or spoilers, unauthorized recording or streaming, fraudulent use, or knowingly hosting without the required license.

Upon expiration or termination, the Buyer must immediately stop promoting and commercially using the game.

Except where otherwise required by applicable law, a license terminated because of the Buyer’s material breach is not eligible for a refund.

Termination does not limit any other rights or remedies available to My Mystery Party under this Agreement or applicable law.

17. Refunds

Commercial licenses are nontransferable. Except where otherwise stated in the applicable refund policy or required by law, commercial-license purchases are final and nonrefundable.

The Buyer is responsible for confirming that the correct game, license type, and Buyer account are used before completing the purchase.

18. Verification

My Mystery Party may request reasonable documentation to verify compliance, including order numbers, the licensed game title, promotional materials, the identity of the host, and the date and location of an event.

Failure to provide reasonably requested verification may result in suspension of the commercial license until the license status can be confirmed.

19. Additional Terms

This Agreement incorporates the My Mystery Party Terms and Conditions.

If a provision of this Agreement is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

If this Agreement conflicts with the general My Mystery Party Terms and Conditions concerning in-person commercial use, this Agreement controls. The general Terms and Conditions continue to govern all matters not specifically addressed here.

Failure to enforce a provision on one occasion does not waive the right to enforce that provision later.

Provisions concerning intellectual property, prohibited distribution, payment obligations, liability, dispute resolution, and remedies survive expiration or termination to the extent necessary to give them effect.

No exception, amendment, transfer, or waiver is valid unless confirmed in writing by an authorized representative of My Mystery Party.

If this Agreement conflicts with a separately signed written agreement between the Buyer and My Mystery Party, the separately signed agreement controls.

20. Acceptance

By purchasing, downloading, accessing, promoting, or using the commercial license, the Buyer confirms that the Buyer has read, understood, and agreed to this Agreement.

Do not purchase, promote an event, or use the game commercially unless you agree to all terms of this Agreement.

This game is licensed for personal, private use only. If you plan to use it for any commercial purpose, public event, business, organization, school, fundraiser, church, promotional activity, paid event, or any use that generates revenue or provides a commercial benefit, you must purchase a Commercial License.
